These Terms of Service govern access to and use of SDACTMS, a church financial request and approval platform operated by SDACTMS (“we”, “us”, “our”).

By accessing or using SDACTMS, you agree to these Terms. If you do not agree, you must not use the platform.

These Terms should be read together with our Privacy Notice and Cookie Notice.

1. Who these Terms apply to

These Terms apply to:

  • churches or organisations using SDACTMS
  • administrators managing SDACTMS accounts
  • treasurers, pastors, elders, finance users, and approvers
  • request submitters using SDACTMS workflows
  • visitors to the SDACTMS website or application

If you use SDACTMS on behalf of a church or organisation, you confirm that you are authorised to do so.

2. Eligibility and authority

By using SDACTMS, you confirm that:

  • you are at least 18 years old
  • you are authorised by the relevant church or organisation where authorisation is required
  • the information you submit is accurate and lawful
  • you will use SDACTMS only for legitimate church or organisational purposes

3. What SDACTMS does

SDACTMS provides tools to submit, route, review, approve, reject, process, record, and report on financial requests and related church workflows.

SDACTMS may include features such as request submission, receipt uploads, approval workflows, signatures, audit logs, notifications, church and department configuration, and reporting tools.

We may update, improve, modify, suspend, or discontinue features from time to time.

4. User responsibilities

You agree to:

  • provide complete, accurate, and current information
  • submit only genuine receipts and supporting documents
  • keep account credentials and access links secure
  • ensure request-specific approval codes or links are not shared improperly
  • use SDACTMS only for authorised church or organisational matters
  • comply with applicable law, internal policies, and governance rules
  • promptly notify us of suspected misuse or security incidents

5. Prohibited use

You must not:

  • submit false, misleading, forged, or unlawful information
  • impersonate another person or misrepresent authority
  • attempt to bypass security or access controls
  • interfere with the availability, integrity, or performance of SDACTMS
  • upload malicious code, harmful files, or unlawful content
  • use SDACTMS for personal, unrelated, or fraudulent transactions
  • copy, scrape, reverse engineer, or exploit the service unlawfully
  • share confidential church or user information without authority

6. Accounts, access, and approval links

Some parts of SDACTMS require authenticated access. Other workflows, such as approval by request-specific code or email link, may be made available without a full user login.

You are responsible for maintaining the confidentiality of your credentials, access links, approval links, and codes, and for all activity carried out using them where that activity is reasonably attributable to you.

We may require reauthentication, revoke access links, rotate codes, or restrict access where necessary for security, misuse prevention, or operational reasons.

7. Data protection and privacy

Personal data processed through SDACTMS is handled in accordance with our Privacy Notice.

You must only upload or submit personal data where you are entitled to do so and where it is relevant to the workflow.

If you are using SDACTMS on behalf of a church or organisation, you are responsible for ensuring your organisation uses the service lawfully, including providing any notices, policies, or internal approvals that may be required.

8. Availability and support

We aim to keep SDACTMS available and functioning properly, but we do not guarantee uninterrupted or error-free service.

SDACTMS may be unavailable from time to time due to maintenance, updates, security actions, infrastructure issues, third-party outages, or events outside our reasonable control.

9. Fees and suspension for non-payment

If SDACTMS is provided on a paid basis, fees, billing terms, and any subscription period will be agreed separately with the relevant church or organisation.

We may suspend or restrict access for overdue payments where this is contractually permitted and reasonable notice has been given, unless immediate action is justified.

10. Intellectual property

We or our licensors own all intellectual property rights in SDACTMS, excluding content or documents uploaded by users.

We grant you a limited, non-exclusive, non-transferable right to use SDACTMS for your internal church or organisational purposes in accordance with these Terms.

You must not copy, distribute, modify, resell, or commercially exploit SDACTMS except as expressly permitted in writing.

11. User content and uploaded material

You retain responsibility for the accuracy, legality, and authority for any information, receipts, documents, comments, signatures, or other content submitted through SDACTMS.

You grant us a limited right to host, process, transmit, store, back up, and display that material only as necessary to operate, secure, and support SDACTMS and related workflows.

12. Suspension and termination

We may suspend, restrict, or terminate access where reasonably necessary, including where:

  • these Terms are breached
  • there is suspected fraud, misuse, or unlawful activity
  • security of the service or any account is at risk
  • the relevant church or organisation requests deactivation
  • fees remain unpaid under an agreed paid plan
  • we are required to do so by law or regulator

We may also suspend access temporarily for investigation, maintenance, or risk management reasons.

13. Warranties disclaimer

SDACTMS is provided on an “as available” basis.

To the fullest extent permitted by law, we do not guarantee that SDACTMS will always be uninterrupted, error-free, or suitable for every particular purpose, and we do not guarantee the accuracy of data entered by users, churches, approvers, or third parties.

Nothing in these Terms requires you to accept any statement that is untrue or misleading; any security, support, hosting, or feature commitments should match the service you actually provide.

14. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. Under UK law, liability for death or personal injury resulting from negligence cannot be excluded, and other negligence exclusions are subject to legal controls.

Subject to the paragraph above, and to the fullest extent permitted by law, we will not be liable for:

  • loss caused by inaccurate or incomplete information submitted by users
  • unauthorised access resulting from user failure to protect credentials, links, or codes
  • indirect or consequential loss
  • loss of profits, revenue, goodwill, anticipated savings, or opportunity
  • service interruption caused by maintenance, third-party failures, or events outside our reasonable control
  • loss arising from decisions made by churches, approvers, finance teams, or administrators using SDACTMS

If you are dealing with consumers, your terms must also be fair and transparent; unfair terms are not binding on consumers.

15. Indemnity

To the extent permitted by law, you agree to indemnify and hold us harmless against claims, losses, damages, liabilities, and costs arising from your misuse of SDACTMS, your breach of these Terms, or your unlawful or unauthorised submission of data or documents.

Do not use this clause in a consumer-facing way without specific legal review, because fairness rules may apply.

16. Changes to SDACTMS or these Terms

We may update SDACTMS and these Terms from time to time.

Where changes are material, we may notify users by email, in-app notice, or another reasonable method. Continued use of SDACTMS after updated Terms take effect constitutes acceptance of the revised Terms, except where further agreement is required by law.

17. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, unless another mandatory law applies.

Subject to any mandatory legal rights, the courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms.
